Terms of Use

These Terms of Use govern your access to and use of DrMedGuide, operated by AIP Innovations Inc. By using the Platform, you agree to these Terms, the Privacy Policy, and the Usage Policy. If you do not agree, do not use the Platform.

Important: DrMedGuide is an informational research, clinical review, documentation-support, and workflow-support platform. All outputs are reference drafts only — not diagnoses, not prescriptions, not treatment directives, and not medical advice. Users must independently verify all outputs, and final responsibility for all clinical, educational, research, documentation, prescribing, referral, testing, counseling, and patient-care decisions remains solely with the User.

Section 01

Acceptance of Terms

By accessing or using DrMedGuide ("the Platform"), you agree to these Terms of Use, the Privacy Policy, and the Usage Policy. If you do not agree, you must not access or use the Platform.

DrMedGuide is operated by AIP Innovations Inc., Ontario, Canada.

These Terms apply to all users of the Platform, including healthcare professionals, educators, researchers, authorized clinical trainees, and any other authorized users approved to access the Platform.

Section 02

Definitions

  • "Platform" means DrMedGuide, including the website, dashboard, software tools, reports, templates, exports, user interface, and related services operated by AIP Innovations Inc.
  • "AIP Innovations Inc.", "we", "us", or "our" means the company that owns and operates DrMedGuide.
  • "User", "you", or "Authorized User" means a physician, resident, nurse practitioner, physician assistant, pharmacist, medical educator, researcher, or authorized clinical trainee who is operating under appropriate educational, institutional, supervisory, or professional oversight and who is using the Platform within the scope of their education, training, certification, institutional authorization, or professional responsibilities.
  • "Reference Output" means any report, draft, table, summary, medication reference, differential consideration, documentation draft, research resource, or exported document generated or organized by the Platform.
  • "Clinical Input" means any information entered, uploaded, dictated, submitted, or otherwise provided by a User to generate a Reference Output.

Section 03

Purpose of the Platform

DrMedGuide is an informational research, clinical review, documentation-support, and workflow-support platform designed for healthcare professionals, educators, researchers, and authorized clinical trainees acting within the scope of their education, training, certification, institutional authorization, or professional responsibilities.

The Platform may provide:

  • Structured clinical review workspaces
  • Investigational working summaries
  • Non-diagnostic differential considerations
  • Draft documentation templates
  • Medication and dosing reference information
  • Drug interaction and medication safety reference checks
  • Laboratory, imaging, testing, and referral considerations
  • Literature-based research resources and structured reference summaries
  • Editable, exportable, and user-controlled documentation drafts

DrMedGuide does NOT:

  • Diagnose any condition
  • Provide treatment directives or prescribing instructions
  • Function as a medical device
  • Replace clinical judgment, professional training, or independent verification
  • Provide patient-specific medical advice
  • Act as the sole basis for diagnosis, treatment, prescribing, testing, referral, counseling, documentation, or patient management decisions

All Reference Outputs must be reviewed, edited, independently verified, and approved by an appropriate authorized user before any clinical, educational, research, documentation, prescribing, testing, referral, counseling, or patient-care use.

Section 04

Eligibility

The Platform may only be used by authorized users, including physicians, residents, nurse practitioners, physician assistants, pharmacists, medical educators, researchers, and authorized clinical trainees acting within the scope of their education, training, certification, institutional authorization, or professional responsibilities.

The Platform is not intended for direct patient self-use. Patients, caregivers, and members of the public should not use the Platform as a substitute for advice, diagnosis, treatment, or care from a qualified healthcare professional.

AIP Innovations Inc. may deny, suspend, or terminate access if it reasonably believes that a User is not eligible to use the Platform or is using the Platform outside the scope of these Terms.

Section 05

No Medical Advice

All Reference Outputs are informational drafts and reference materials only. They are:

  • Not a diagnosis
  • Not a treatment plan
  • Not a prescription
  • Not medical advice
  • Not a substitute for professional training, clinical judgment, independent verification, or applicable standards of care
  • Not intended for patient use without review, verification, and approval by an appropriate healthcare professional

The User retains full responsibility for all decisions made using, informed by, or associated with Platform outputs.

Section 06

Independent Verification Requirement

Mandatory User Responsibility

All Platform outputs must be independently reviewed and verified before any clinical, educational, research, documentation, prescribing, testing, referral, counseling, or patient-care use.

Users must independently verify all information generated, organized, displayed, summarized, or exported by the Platform before applying it in any clinical, educational, research, prescribing, testing, referral, documentation, counseling, or patient-care setting.

Platform outputs must not be relied upon as the sole basis for diagnosis, treatment, prescribing, testing, referral, counseling, documentation, or patient management decisions.

The User remains solely responsible for confirming the accuracy, completeness, timeliness, relevance, and appropriateness of all Platform outputs using their own professional judgment, training, experience, applicable standards of care, institutional policies, and independent source verification.

Section 07

No Professional Relationship

No Physician-Patient, Healthcare Provider, Fiduciary, Or Advisory Relationship Created

DrMedGuide is a software platform that organizes reference information. It does not create a professional relationship between AIP Innovations Inc. and any user, patient, institution, or third party.

Use of the Platform does not create a physician-patient relationship, healthcare provider-patient relationship, fiduciary relationship, advisory relationship, professional relationship, or any other special relationship between AIP Innovations Inc., DrMedGuide, its officers, directors, employees, contractors, agents, licensors, users, patients, institutions, or any third party.

AIP Innovations Inc. does not provide medical care, clinical services, professional healthcare advice, diagnosis, treatment, prescribing, patient management, or patient monitoring through the Platform.

All clinical, educational, research, documentation, prescribing, testing, referral, counseling, or patient-care decisions remain the sole responsibility of the User or the appropriately qualified healthcare professional responsible for the applicable context.

Section 08

User Responsibility

The following provisions describe the User's responsibilities and obligations when using the Platform.

  • The User is solely responsible for all clinical, educational, research, documentation, prescribing, testing, referral, counseling, and patient-care decisions.
  • The User is responsible for ensuring that their use of the Platform complies with all applicable laws, regulations, standards of care, professional obligations, licensure requirements, institutional policies, and privacy requirements.
  • The User is responsible for maintaining the confidentiality and security of their account credentials.
  • The User accepts responsibility for all activities that occur under their account.
  • The User is responsible for reviewing, editing, verifying, and approving any draft documentation before use.
  • The User is responsible for verifying all medication, dosing, contraindication, interaction, laboratory, testing, referral, and management information before applying it in any context.

Section 09

Prohibited Uses

You may not use the Platform to:

  • Provide unsupervised medical advice to patients
  • Use Platform outputs as the sole basis for diagnosis, treatment, prescribing, testing, referral, counseling, documentation, or patient management decisions
  • Replace or bypass professional clinical judgment, training, supervision, or independent verification
  • Enter fabricated, intentionally false, misleading, unlawful, or deceptive information
  • Violate HIPAA, PHIPA, PIPEDA, or any other applicable privacy, data protection, healthcare, professional, or institutional requirement
  • Attempt to extract, reconstruct, identify, or misuse Protected Health Information, personal data, or confidential information
  • Use the Platform for academic dishonesty, misrepresentation, plagiarism, fraudulent documentation, or professional misconduct
  • Reverse engineer, scrape, copy, resell, sublicense, or commercially exploit the Platform except as expressly permitted by AIP Innovations Inc.
  • Use the Platform in a way that could harm, overload, interfere with, or compromise the security, integrity, availability, or operation of the Platform

Violation of these Terms may result in immediate suspension or termination of access.

Section 10

Data Handling

🔒 Transient Clinical Input Processing

Clinical inputs are processed transiently for report generation and are not intentionally retained as part of the Platform's normal operational workflow. Limited technical logs, security monitoring records, and operational system data may be temporarily maintained where required for reliability, security, fraud prevention, legal compliance, or system integrity.

You are responsible for compliance with HIPAA, PHIPA, PIPEDA, and any other applicable privacy, security, professional, institutional, or data protection requirements when entering any clinical, patient, personal, confidential, or regulated information into the Platform.

Data handling practices are further described in the Privacy Policy, which is incorporated into these Terms by reference.

Section 11

No Warranty

The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by applicable law, AIP Innovations Inc. disclaims all warranties, including but not limited to:

  • Accuracy, completeness, reliability, timeliness, or usefulness of any output
  • Correctness of medication, dosing, interaction, laboratory, testing, referral, or management information
  • Fitness for any clinical, educational, research, professional, commercial, or institutional purpose
  • Availability, uptime, security, uninterrupted operation, or error-free performance
  • Compliance with any particular regulatory, institutional, or professional requirement

Section 12

Limitation of Liability

Maximum Liability Cap

To the maximum extent permitted by law, the total liability of AIP Innovations Inc. arising out of or relating to the Platform shall not exceed the total amount paid by the User for access to the Platform during the twelve (12) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by applicable law, AIP Innovations Inc., the Platform, its officers, directors, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Clinical decisions made by any User
  • Misdiagnosis, delayed diagnosis, incorrect diagnosis, or missed diagnosis
  • Adverse patient outcomes, injury, death, malpractice claims, or professional liability claims
  • Improper use of Platform outputs
  • Incorrect or incomplete medication, dosing, laboratory, testing, interaction, or referral information
  • Loss of data, revenue, profits, business opportunity, goodwill, reputation, or professional standing
  • System downtime, interruption, errors, inaccuracies, omissions, data loss, or unauthorized access

Section 13

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to the Platform, these Terms, or the relationship between the User and AIP Innovations Inc. shall first be addressed through good-faith informal resolution by contacting AIP Innovations Inc. at support@drmedguide.com.

If the dispute cannot be resolved informally, the dispute shall be resolved in Ontario, Canada, in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, unless otherwise required by applicable law.

To the maximum extent permitted by law, Users agree that disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or consolidated proceeding.

Section 14

Access Restriction, Suspension & Termination

AIP Innovations Inc. may suspend, restrict, or terminate access to the Platform if it reasonably believes that a User has violated these Terms, violated applicable law, created security or operational risk, misused the Platform, or used the Platform outside the intended scope of authorized use.

Users may stop using the Platform at any time. Termination of access does not relieve the User of obligations that, by their nature, should survive termination, including independent verification obligations, limitation of liability, disclaimers, indemnification obligations, intellectual property protections, and dispute resolution provisions.

Section 15

Intellectual Property

All content, software, source code, interfaces, designs, trademarks, branding, logos, reports, templates, documentation, workflows, dashboards, exported formats, visual elements, and other materials associated with DrMedGuide are owned by or licensed to AIP Innovations Inc. and are protected by applicable intellectual property, copyright, trademark, trade secret, and other proprietary rights laws.

Except as expressly permitted by these Terms, Users may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, reverse engineer, decompile, disassemble, scrape, extract, republish, resell, sublicense, or commercially exploit any portion of the Platform.

Nothing in these Terms transfers any ownership rights in the Platform or its intellectual property to any User.

Section 16

Indemnification

To the maximum extent permitted by law, Users agree to defend, indemnify, and hold harmless AIP Innovations Inc., DrMedGuide, and their respective officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable legal fees and expenses, arising out of or relating to:

  • The User's access to or use of the Platform
  • Violation of these Terms, the Privacy Policy, or the Usage Policy
  • Violation of any applicable law, regulation, professional obligation, institutional policy, or privacy requirement
  • Any clinical, educational, research, documentation, prescribing, testing, referral, counseling, or patient-care decision made by the User
  • Reliance on, misuse of, or improper application of any Platform output
  • Infringement, misappropriation, or violation of any rights of another person or entity by the User

Section 17

Modifications

AIP Innovations Inc. may update these Terms of Use from time to time. Material changes may be communicated through a notice on the Platform, email notification, or other reasonable method.

Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.

Section 18

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be subject to the jurisdiction of the courts located in Ontario, Canada, unless otherwise required by applicable law.

You understand that all Platform outputs are informational reference drafts only; that the Platform does not diagnose, prescribe, treat, or provide medical advice; that independent verification is required before any use; and that you retain full responsibility for all clinical, educational, research, documentation, prescribing, testing, referral, counseling, and patient-care decisions.
